The purpose of this AI CTRL Fair Use Policy (the "Policy") is to set forth guidelines related to your use of AI CTRL pursuant to the Master Services Agreement (the "MSA") between you (individually) or your company and Expedient.
Under the MSA, AI CTRL users (each a "User") are entitled to unlimited credits which may be used across several Artificial Intelligence models. This pricing of AI CTRL represents a good faith effort by Expedient to provide you with predictable costs and the freedom to create, experiment and develop new outputs. This Policy exists to ensure that AI CTRL remains stable, fast and available for all Users and to prevent abusive or fraudulent use of AI CTRL.
For purposes of this Policy, "Unlimited" means that Expedient does not impose a fixed credit cap or per-prompt charge on individual Users engaged in normal, reasonable personal and professional use, as further described in Section II. "Unlimited" does not mean unrestricted — automated, bulk, or disproportionate use remains subject to the limits set forth herein, regardless of the pricing model under which AI CTRL is offered.
In addition to all other consequences set forth herein, Expedient reserves the right to suspend or terminate User access to AI CTRL without advance notice for any violation of this Policy.
AI CTRL is not intended for use by anyone under sixteen (16) years of age, and Users shall not permit such use.
All Users are subject to this Policy.
Through your use of AI CTRL, you acknowledge and agree that Expedient may impose a limit on the length, file size, and the number of prompts that you can upload and process. Expedient may change such limits at any time, at its sole discretion.
Though Expedient may review certain metrics that compare your use of AI CTRL against other Users, our primary goal is to prevent or reasonably curtail any activity that imposes an unreasonable or disproportionate load on our infrastructure, or otherwise degrades the stability, speed, or performance of AI CTRL for other Users. Expedient's monitoring is based principally on platform performance and is not strictly a comparison of your usage to that of other Users.
AI CTRL is intended for normal, reasonable personal and professional use. Though certain AI CTRL features are offered on an "Unlimited" basis, they are also only be used for your individual use and are subject to the following restrictions. Normal, reasonable individual use does not include:
Although Expedient does not impose a fixed limit, as a guideline, we will generally consider that your usage is abnormal or unreasonable if (i) your sporadic use during a defined period of time (e.g., a day or a week), places you within the top three percent (3%) of all AI CTRL Users during the same time frame; (ii) your average usage places you within the top five percent (5%) of AI CTRL Users in a calendar month; or (iii) your month-to-month use regularly places you within the top ten percent (10%) of AI CTRL users (each a potential example of "Excess Usage").
If your use is categorized as Excess Usage, then Expedient reserves the right to implement immediate limits on your access to AI CTRL (e.g., Service Throttling or suspension of access). However, Expedient shall, prior to implementing the above remedies, use commercially reasonable efforts to (a) communicate any Excess Usage to you in writing; and (b) work with you to resolve any issues that may be resulting in such Excess Usage; and (c) provide you with access to usage reports so that you may observe your own consumption relative to applicable thresholds.
For the purposes of this Policy, "Service Throttling" shall mean the application of rate limits or access to specific features of AI CTRL so that service quality may be maintained across all Users.
Cure and Reinstatement. If Expedient notifies a User of Excess Usage pursuant to this Section, the User shall have ten (10) business days from the date of such notice to reduce usage to a level that no longer constitutes Excess Usage (the "Cure Period"). If the User successfully reduces usage within the Cure Period and maintains non-Excess Usage for thirty (30) consecutive days thereafter, Expedient shall remove any Service Throttling imposed due to such Excess Usage and restore the User's access to AI CTRL in full. A User's prior Excess Usage designation shall not be used as the sole basis for future enforcement action; however, repeated or recurring Excess Usage patterns may be considered cumulatively in Expedient's reasonable assessment of User behavior under this Policy.
Expedient understands that your use of AI CTRL may be irregular, with periods where you may wish to process a higher number of prompts and others where you may not wish to process any or relatively few. Expedient will review and evaluate your use accordingly.
If you believe that an upcoming objective or project might result in Excess Usage, we encourage you to contact Expedient at least five (5) business days in advance of the anticipated high-usage period so that such use can be managed to minimize the impact on other Users and without unnecessary limits or restrictions being imposed upon your use.
Users shall not:
a. Resell, sublicense, or otherwise provide AI CTRL outputs as a monetized, standalone service to third parties; or
b. Reverse-engineer AI CTRL or use AI CTRL generated output to create, train, or improve a competing artificial intelligence model or service
Your use of AI CTRL must align with and adhere to the following principles, and you shall not use AI CTRL to:
a. Make threats, intimidate or harass others;
b. Make or create defamatory statements (including images);
c. Engage in sexual violence or generate non-consensual intimate content;
d. Generate, distribute, or facilitate child abuse material or any content involving minors;
e. Create or distribute synthetic media (including deepfakes or AI-generated impersonations) that falsely depict a real individual without their consent, or that are used to deceive, defraud, or harm;
f. Engage in or promote violence of any kind;
g. Develop, procure or use weapons of any kind;
h. Sell illicit or illegal goods or services;
i. Destroy, compromise or breach any system(s) which are not within your direct and authorized control;
j. Infringe upon the intellectual property rights of others;
k. Provide advice that requires a license (e.g., medical or legal advice) without appropriate involvement by a professional licensed in the appropriate field;
l. Engage in unauthorized intelligence gathering, surveillance, or activities that violate national security or export control laws; or
m. Circumvent AI CTRL safeguards.
The outputs generated by AI CTRL are not verified by Expedient and may be inaccurate, misleading, outdated or include incomplete or inaccurate citations, fabricated facts, or non-existent source references. Users are solely responsible for verifying output accuracy and appropriateness before using such information or taking action based on the outputs.
Expedient does not warrant that AI CTRL outputs are free of third-party intellectual property rights. Users are responsible for ensuring that their use of AI CTRL outputs complies with applicable intellectual property laws, including copyright.
Users who encounter output that they believe is harmful, offensive, or in violation of this policy should report it immediately to legal-notices@expedient.com or via the Support Management Console.
Users may contact Expedient regarding this Policy, including to inform Expedient of anticipated high use pursuant to Section III (Anticipated High Use) above, via: legal-notices@expedient.com or by submitting a ticket through Expedient's Support Management Console.
Expedient reserves the right to update or modify this Policy at any time. Whenever possible, Users will be notified of significant changes in advance.
